These Terms of Service (“Terms”) govern your access to and use of the websites, software platforms, tools, models, analyses, forecasts, reports, and professional services (collectively, the “Services”) provided by Amid LLC (“Amid,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Scope of Services

Amid provides:

• Advisory and consulting services, including strategic, analytical, and operational guidance
  
• Forecasting, modeling, and scenario analysis, including projections, estimates, simulations, and forward-looking analyses
  
• Software-as-a-Service (SaaS) tools that generate, visualize, or analyze data
  

The Services may incorporate human judgment, proprietary methodologies, statistical models, artificial intelligence, third-party data sources, or a combination thereof.

2. No Professional, Financial, Investment, or Trading Advice

The Services are provided for informational and analytical purposes only.
Nothing provided by Amid constitutes investment, financial, legal, tax, accounting, or trading advice, nor a recommendation to buy, sell, or hold any security, asset, or instrument.

You are solely responsible for all decisions and actions taken based on your use of the Services.

3. Forecasting, Projections, and Forward-Looking Statements

CRITICAL DISCLAIMERS — READ CAREFULLY

3.1 Forecasts Are Inherently Unreliable

Any forecasts, projections, scenarios, estimates, simulations, or forward-looking statements (“Forecasts”) provided by Amid:

• Are inherently uncertain and speculative
  
• Are based on assumptions that may be incomplete, incorrect, or subject to change
  
• Reflect hypothetical modeled outcomes, not actual future events
  
• May differ materially and adversely from real-world results
  

3.2 No Reliance

YOU EXPRESSLY AGREE THAT YOU WILL NOT RELY ON ANY FORECAST PROVIDED BY AMID.

Forecasts are illustrative analytical tools only. They are not predictions, guarantees, or promises of performance.

3.3 No Trading, Investment, or Transactional Use

You agree that you will not use the Services or any Forecast to:

• Make trading or investment decisions
  
• Allocate capital
  
• Execute or time transactions
  
• Support securities, commodities, or derivatives activity
  

Amid disclaims all liability arising from such use.

3.4 No Duty to Update

Amid has no obligation to update, revise, or correct any Forecast, even if underlying assumptions or conditions change.

4. Advisory Services Disclaimer

Advisory services reflect professional judgment at a point in time and are based on information provided by you or other sources believed to be reliable. Outcomes are not guaranteed, and results may vary materially due to external factors beyond Amid’s control.

5. SaaS Services and Platform Use

5.1 Accounts and Access

Certain Services may require account registration. You are responsible for:

• Maintaining the confidentiality of login credentials
  
• All activity occurring under your account
  
• Promptly notifying Amid of any unauthorized access or security breach
  

Amid is not responsible for losses resulting from compromised credentials due to your actions or omissions.

5.2 Availability and Modifications

We may modify, suspend, or discontinue any part of the SaaS Services at any time. We do not guarantee uninterrupted or error-free operation.

5.3 Outputs

All outputs generated by the SaaS Services:

• Depend on inputs, assumptions, and model limitations
  
• May contain errors or inaccuracies
  
• Are not validated for real-world decision-making
  

You are responsible for independently validating outputs before use.

6. User Data and Confidentiality

6.1 Data Handling

Data submitted may be processed, transformed, or analyzed as part of the Services. While some data may be anonymized or aggregated and not directly linked to your identity, this does not make the Services appropriate for sensitive or restricted information.

6.2 No Unauthorized or Restricted Data

You agree not to submit:

• Material non-public information (MNPI)
  
• Confidential information you lack authority to disclose
  
• Regulated or restricted data (e.g., HIPAA, ITAR, export-controlled data)
  
• Personal data you are legally prohibited from sharing
  

You bear sole responsibility for ensuring you have the right to submit all data provided.

7. Intellectual Property

All software, models, methodologies, content, and materials provided by Amid are owned by or licensed to Amid and protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable right to use the Services for internal business purposes only, unless otherwise agreed in writing.

8. Termination

Either party may terminate access to the Services at any time:

• For convenience, upon notice
  
• Immediately for violation of these Terms
  

Upon termination:

• Your right to access the Services ceases
  
• Sections relating to disclaimers, forecasting, limitation of liability, indemnification, and dispute resolution survive
  

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

AMID DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• AMID SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
  
• AMID SHALL NOT BE LIABLE FOR LOSSES ARISING FROM RELIANCE ON FORECASTS, ANALYSES, OR OUTPUTS
  
• AMID’S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID TO AMID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
  

11. Indemnification

You agree to indemnify and hold harmless Amid from claims, damages, or losses arising from:

• Your use or misuse of the Services
  
• Your violation of these Terms
  
• Your reliance on Forecasts or Outputs
  
• Your submission of unauthorized or restricted data
  

12. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered in California, except that either party may seek injunctive relief for intellectual property misuse.

You waive the right to participate in class actions or jury trials.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and Amid regarding the Services and supersede all prior understandings, whether written or oral, unless otherwise agreed in writing.

16. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
